Terms of Service

1. Acceptance of Terms

By installing, accessing, or using any application or software service provided by Easebox—including Easecart, Easereceipt, Easeclip, Easemask, Easereply, and Easereview (collectively, the "Services")—you ("Merchant", "User", or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not install or use the Services.

2. Description of Services

Easebox provides lightweight software tools designed to streamline e-commerce, document management, and business workflows. Specifically, Easecart is a Shopify application built using Shopify Theme App Extensions and Shopify Functions that displays cart progress bars, one-click upsell suggestions, and automatic checkout discounts.

3. Account Registration and Platform Compliance

1. To use our Shopify applications, you must maintain an active, valid Shopify store account and comply with Shopify's Terms of Service.
2. You are solely responsible for configuring the discount thresholds, excluded product tags, and tax settings within the app dashboard and verifying that the displayed progress bar matches your store's shipping and promotional policies.

4. Subscription Billing, Free Trials, and Cancellation

1. Shopify Billing API: For Shopify applications (including Easecart and Easereply), all subscription fees are billed directly through the official Shopify Billing API and appear on your regular monthly Shopify invoice.
2. Development Stores & Free Plan: Development stores (Shopify Partner test stores) may use the Free tier without charge. Paid plans (such as the Easecart Pro Plan at $9.99 USD/month) are billed every 30 days according to Shopify's billing cycle.
3. Cancellation: You may downgrade to the Free plan or cancel your paid subscription at any time directly within the app's billing page or by uninstalling the app from your Shopify Admin dashboard. Once uninstalled, Shopify automatically terminates recurring billing immediately, and no further charges will be incurred.
4. Refunds: Because billing is processed via the Shopify Billing API (or Stripe for non-Shopify tools) and plans include free tiers or trial periods to evaluate compatibility, subscription fees for partial billing cycles are generally non-refundable, except where a verifiable technical defect prevented the Service from functioning as described. 5. Intellectual Property Rights

All source code, WebAssembly modules, user interface designs, graphics, logos, and documentation associated with Easebox and the Services are the exclusive intellectual property of Easebox. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business or store operations while your account remains active. You may not reverse-engineer, redistribute, or resell the Services without prior written consent.

6. Disclaimer of Warranties ("As-Is")

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WHILE EASEBOX DESIGNS ITS TOOLS FOR MAXIMUM THEME COMPATIBILITY AND SPEED, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH EVERY THIRD-PARTY CUSTOM THEME MODIFICATION.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EASEBOX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOST SALES, INCORRECT DISCOUNT CONFIGURATION BY THE MERCHANT, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO EASEBOX DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Fukuoka, Japan.

利用規約（日本語版）

第1条（適用および同意）

本利用規約（以下「本規約」）は、Easeboxが提供するすべてのソフトウェアおよびサービス（Easecart、Easereceipt、Easeclip、Easemask、Easereply、Easereviewを含み、以下総称して「本サービス」）の利用条件を定めるものです。利用者（以下「ユーザー」または「マーチャント」）は、本サービスをインストールまたは利用することにより、本規約に同意したものとみなされます。

第2条（利用料金・決済・解約・返金）

1. 決済手段： Shopify向けアプリ（Easecart等）の有料プラン料金は、Shopify公式の Shopify Billing API を通じて30日周期で自動課金され、マーチャントの通常のShopify請求書に合算して請求されます。Shopify以外のツールについてはStripe等の決済基盤を通じて課金されます。
2. 開発ストアおよび無料プラン： Shopifyパートナーの開発ストア（Development Store）およびFreeプランの範囲内での利用は無料です。
3. 解約手続き： マーチャントは、アプリ内のプラン管理画面からいつでもFreeプランへダウングレードできるほか、Shopify管理画面からアプリをアンインストールすることで即座に定期課金を解約できます。アンインストール後は次回以降の請求は一切発生しません。
4. 返金ポリシー： 無料プランまたはトライアル期間にて事前の動作確認が可能であるため、日割り計算による途中返金は原則として行っておりません。ただし、当スタジオ側の重大な不具合によりサービスが全く機能しなかったことが確認された場合は、support@easebox.app までご連絡いただくことで個別に対応いたします。

第3条（ユーザーの責任と設定確認）

送料無料の目標金額、除外商品タグ（クール便等）、税込・税抜の判定設定、および割引率の設定はマーチャント自身の責任において行うものとし、公開前にご自身のストア上で期待通りに割引および表示が動作することを確認するものとします。

第4条（知的財産権）

本サービスに関するプログラム、WebAssemblyモジュール、UIデザイン、ロゴ、ドキュメント等の著作権その他の知的財産権はすべて当スタジオに帰属します。

第5条（免責事項および損害賠償の制限）

1. 当スタジオは、本サービスが特定のカスタムテーマや全てのサードパーティ製アプリと100%競合しないこと、または中断なく動作することを保証するものではありません。
2. 法令で認められる最大限の範囲において、マーチャントによる設定ミス（割引金額の誤設定等）、機会損失、間接損害について当スタジオは責任を負いません。当スタジオが負う損害賠償責任の総額は、いかなる場合も、請求原因が生じた日前3ヶ月間に当該ユーザーが当スタジオに支払った本サービスの利用料金総額を上限とします。

第6条（準拠法および管轄裁判所）

本規約は日本法を準拠法とし、本サービスに関連して生じた紛争については、福岡地方裁判所を第一審の専属的合意管轄裁判所とします。
